("Client")
regarding the World Wide Web authoring and hosting services (hereafter referred to as
"Site").
| Client Commitment |
Client commits to a one year (12 month)
agreement, effective date of client agreement. After one year, this agreement can
terminated by Client with 30 days advance written notice. |
| Ownership |
Provider retains ownership of all text,
programming codes and graphics associated with the Site. |
| Control |
Provider retains all control over Site
contents. |
| Billing |
Provider will bill Client monthly. If Client is
30 days in arrears, the Site will be disabled. |
| Termination |
If this agreement is terminated, the text, programming
codes, and graphics specifically developed for the Site will be made available to the
Client for 30 days after the termination notice so that the Client has the capability to
install the Site's files on another computer system. At the Provider's option, the text,
programming codes and graphics may be delivered on floppy disk or made available over the
Internet via file transfer protocol.. |
Response Time
and Availability |
Provider will make every reasonable effort to
have the Site available and responsive at all times. Provider cannot guarantee 100% uptime
of site due to Internet Service Provider outages, component failures, network problems,
acts of God, or any other reason the Site would not be available. |
| Liability |
Provider is not liable to Client for lost
profits or other damages resulting from the Site displaying incorrect or misleading
information or from the Site being inaccessible or too slow. |
| Client Publicity |
The Provider will submit the Client's Site
information to the top six (6) web search engines (Excite, Yahoo, Infoseek, Lycos, Magellan, AltaVista).
Substantial time will be spent making sure that the Site is indexed by the search engines.
No guarantee can be made by the Provider that the Site will be listed on any search
engine. |
| Provider Publicity |
Client agrees that a link from the Client's
Site to the Provider's site is reasonable and is expected. |
| Backup |
The Provider agrees to backup the Site's files,
make sure that the primary Site server is reasonably configured for fault tolerance, and
provide for a secondary server for use if the primary server is off-line for more than one
hour. |
